:
Means, in relation to GSH:

any company in which he and his immediate family together (directly or
indirectly) have an interest of 30% or more; and
shall for the purposes of the IPT Mandate, include (i) the TYJ Group, (ii) such
Associated Companies of the TYJ Group in which GSH and his immediate family
together (directly or indirectly) have an interest of 30% or more (this includes T&T)

Immediate Family
”
:
in relation to a person, means the person’s spouse, child, adopted child, step-
child, sibling and parent

Interested Person
”
:
Means, (a) a Director, Chief Executive Officer, or Controlling Shareholder of the
Company; or (b) an associate of any such Director, Chief Executive Officer or
Controlling Shareholder
For the purposes of the IPT Mandate, means GSH and the GSH Associates

IPT
”
:
An interested person transaction between any of the Entities at Risk and the
Interested Persons

IPT Mandate
”
:
The Shareholders’ mandate for IPTs pursuant to Rule 920 of the Catalist Rules

Latest Practicable Date
”
:
1 July 2016, being the latest practicable date prior to the printing of this Appendix

:
The Directors and management of the Company
